Terms of Service

These terms govern your use of BreakPass (breakpass.ai), a service provided by X Labs L.L.C-FZ (“X Labs”, “we”, “us”), registered in Meydan Free Zone, Dubai, United Arab Emirates. By using BreakPass, you agree to these terms.

Not for emergencies or life-safety use; call your local emergency number.

The service

BreakPass lets your own AI agents and apps reach you, and the family or team members you choose to add, by WhatsApp, phone call or SMS. Every alert goes only to your own verified numbers — BreakPass doesn’t sell phone numbers, and you can’t use it to reach anyone outside your account.

Who can use BreakPass

You must be 18 or older to create a BreakPass account.

Accounts and verified numbers

Every number on your account must confirm it with a one-time code before your agents or apps can send it anything. By adding a number — your own, or a family member’s or teammate’s — you confirm that you either own that number or have that person’s permission to add it.

Acceptable use

You agree not to:

• Send marketing or spam through BreakPass.
• Send alerts to any number that hasn’t verified itself on your account.
• Send unlawful, threatening or abusive content.
• Try to get around rate limits, spend caps or other guardrails.

We can suspend or close accounts that break these rules.

No guaranteed delivery

We make reasonable efforts to deliver every alert, but we can’t guarantee it. Delivery depends on things outside our control: carrier networks, your phone’s Do Not Disturb and notification settings, and the WhatsApp, SMS and voice networks we rely on. BreakPass is not a substitute for a monitored emergency or life-safety system.

Credits

• Credits are prepaid and single-purpose: you can only spend them on BreakPass alerts. They are not money, have no cash value, can’t be transferred to anyone else, and are not a gift card.
• Paid credits never expire.
• Welcome credits (given when you verify your first number) expire 30 days after they’re granted.
• Bonus credits (such as the early-access top-up bonus) expire 90 days after they’re granted.
• Bonus and welcome credits have no cash value and are never refunded.
• If you close your account, we’ll refund any unused paid credit to your original payment method, on request, with no fee.

Prices, tax and payment

Prices exclude VAT and sales tax, which are added at checkout where applicable. Payments are processed by our merchant of record, Creem, who is the legal seller of your purchase, issues your invoice, and handles any tax due. Refunds are handled per this policy and Creem’s own refund policy.

Your right to cancel (EU/UK customers)

If you’re in the EU or UK, you normally have 14 days to cancel a purchase and get a refund. Because credits can be used immediately, when you check out we’ll ask you to confirm — with a checkbox — that you want the service to start right away, and that you understand you lose the 14-day cancellation right for any credit you’ve already used. Unused paid credit stays refundable as described above.

Pro and Team plans

Pro and Team are optional subscriptions, billed monthly or yearly, that renew automatically until you cancel. You can cancel anytime in your dashboard with one click — cancelling stops the next renewal, and you keep access until the end of the period you already paid for. If we ever change a plan price, we’ll tell you before it takes effect.

Early-access offer

If you sign up for early access before BreakPass launches publicly:

• Your first top-up is doubled, up to $10 extra in bonus credit. This bonus expires 90 days after it’s granted.
• Your credit price and top-up amounts are locked for 12 months from launch. This price lock covers what we charge for credits and top-ups — it doesn’t cover taxes set by anyone else, which can still change.

Suspending or ending your account

We can suspend or close your account if you break these terms, if we reasonably think your account is a safety or fraud risk, or if the law requires it. You can close your account at any time.

Our liability

To the extent the law allows, X Labs isn’t liable for indirect or consequential losses, or for failures of third-party networks (carriers, WhatsApp, phone networks) that are outside our control. Nothing in these terms limits liability where the law doesn’t allow it.

Indemnity

You agree to cover our reasonable costs if your misuse of BreakPass — for example, adding a number without permission — leads to a claim against us.

Governing law

These terms are governed by the law of the United Arab Emirates, and the courts of Dubai have jurisdiction.

Changes to these terms

We may update these terms as BreakPass changes. We’ll post the new version here and, where a change is significant, tell you directly.
